EULA - End User License Agreement

RReplace is © Peter Caffin, 2006-2009. All rights reserved. Automatic Networking Solutions Pty. Ltd. is an official distributor of RReplace.

The distributor hereby gives you a non-exclusive license to use RReplace as Unregistered Shareware for 30 days, after which you should purchase the Registered version or uninstall it.

During the Shareware evaluation period, the software will provide you with regular reminders to register.

For registered release you must pay a license fee, by following instructions prompted by the program.

If you are a single user or Shareware license holder, you may:

(a) Use one copy of RReplace per supported platform. They must be owned by you;
(b) Install RReplace on a second computer so long as the primary user of each copy is the same person and more than one copy is not simultaneously used;
(c) Copy RReplace for archival purposes, provided any copy contains all of the original Software''s proprietary notices.

If you are a site license holder, you may:

(a) Use RReplace on any computers in your organisation. They must be owned by your company;
(b) Copy RReplace for archival purposes, provided any copy contains all of the original Software''s proprietary notices.

You may not:

(a) Permit other individuals to use RReplace except under the terms listed above;
(b) Modify, translate, reverse engineer, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction),
(c) Create derivative works based on RReplace;
(d) Copy RReplace (except as specified above);
(e) Rent, lease, transfer or otherwise transfer rights to RReplace;
(f) Remove any proprietary notices or labels on RReplace.

General Provisions

RReplace is protected by international copyright treaties.

This contract is governed by Western Australian law and is subject to the exclusive jurisdiction of the Western Australian courts, it being specified that the election of the competent courts is stipulated for the author''s sole benefit, and that the latter is free to waive such attribution.

You may not assign or otherwise transfer the benefit of this agreement to a third party. This agreement constitutes the full agreement between you and the author and replaces all verbal or written proposals, prior contracts, orders or any other communication between you and the author on the subject of this agreement. If a provision of this agreement is judged to be null and void, the clause concerned shall be modified so as to be valid and, thus amended, shall be executed in full, and the other provisions of this agreement shall remain fully in force and effective.

If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

Termination

The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of RReplace and Documentation.

Warranty

RReplace is provided on an AS IS basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement.

The entire risk as to the quality and performance of RReplace is borne by you.

Should RReplace prove defective, you and not the author or distributor assume the entire cost of any service and repair.

THE AUTHOR AND DISTRIBUTOR ARE NOT RESPONSIBLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.
